Mr. Singh has about five decades of post-qualification experience in company law
and secretarial practice, merchant banking, auditing, accounts and finance.
His vast experience of corporate India is a valuable asset to the firm. He guides
clients on corporate compliances and regularly attends Board and Shareholders meetings
at the request of clients as an alternate director. Additionally, he leads associates in
conducting corporate legal audits, advises on due diligence issues, structuring cross
border transactions including financing issues. VC's experience also includes drafting of
applications and representations to the Department of Company Affairs in connection
with approvals under various corporate laws. He has counseled on contracts related to
setting up green-field business ventures including shareholders, stock purchase, asset
sale/purchase etc.
VC has represented blue-chip companies in connection with raising funds
through 'Rights Issue'/ 'Public Issue'. Drafting offer documents, liaising with Securities
Exchange Board of India (SEBI) and concerned stock exchanges in connection with
listing is his forte. He liaises with the Reserve Bank of India for making offer to existing
Non-Resident Indians (NRI) shareholders or to other NRI/foreign investors and
manages with Registrar of Companies in connection with all matters related to
incorporation of companies. He also coordinates with Registrars to Issue for public
listing and bankers with an object to ensure timely compliance of post-issue formalities
i.e. allotment/refunds and filing of returns within the prescribed time.
As Company Secretary of Escorts Ltd group companies, he had significant
experience of overall responsibility of the Secretarial Department. He also held senior
position in Escorts Limited, Secretarial Division, and supervised activities relating to
issue of bonus shares and debentures, redemption of preference shares,
transfer/transmission of shares/debentures, payment of interim/final dividends on
shares and interests on debentures. VC also followed petitions filed before the Company
Law Board against Company's refusal to register transfer of shares.
He has successfully handled 'Rights Issue' of 15% Non-Convertible Debentures
of the face value of Rs. 350 million and 'Public Issue' of 12.5% Secured Fully
Convertible Debentures - both to Indian public and NRIs - of the face value of Rs. 435
million. While coordinating with clients, this also involved a comprehensive drafting of
the letter of offer (for rights issue) and prospectus (for public issue) and liaising with all
requisite statutory agencies and the merchant bankers.
As one of the senior officials, he was involved in a legal battle against a hostile
acquisition of substantial shares by a powerful NRI group. This involved a thorough
appraisal of exchange control procedures, NRI investment schemes, and holding of
Extraordinary General Meetings lasting several days, assisted in conducting poll
demanded for removal of certain Directors.
Fluent in English and Hindi, VC has additional qualifications of "Fellow" of
Institute of Chartered Accountants of India and Institute of Company Secretaries of
India.
