MCA introduces Annual CSR Reporting

The Ministry of Corporate Affairs notified the Companies (Accounts) Amendment Rules 2022 on February 11, 2022, and inserted a new Rule 12(1B) to introduce a new requirement of furnishing an Annual Report on Corporate Social Responsibility (“CSR”) with the Registrar of Companies. 

Background: Section 135 of the Companies Act, 2013 requires all companies with a profit of INR 50 million (USD 663,746) or turnover of INR 1 billion (USD 14 million) or net worth of INR 5 billion (USD 67 million) or more in the preceding Financial Year (“FY”) to expend at least 2% of three years’ average net annual profit on CSR activities specified under Schedule VII of the Act.

Amendment: As per new Rule 12(1B), all companies covered under section 135 shall furnish a detailed Annual CSR Report for (a) FY 2020-21: in a web-form CSR-2 on or before March 31, 2022; (b) FY 2021-22 and onwards: in an addendum to form AOC-4 i.e., accounts related web-form within 30 days of the Annual General Meeting.
